TERMS & CONDITIONS
1. Scope
1.1. In these general terms and conditions for sale, “PN UAE” refers to [ProNails UAE], the official distributor of ProNails products in the United Arab Emirates, with registered office. “Customer” refers to the company or professional who places an order with PN UAE or whose details are specified on the invoice or order form.
1.2. The Customer confirms that they have read these general terms and conditions and accepts that they apply exclusively to all orders placed with PN UAE, to the exclusion of any conflicting terms the Customer may have.
1.3. PN UAE does not sell to private consumers. The Customer warrants that they are a professional or business entity and not a consumer.
2. Prices
2.1. PN UAE will provide the Customer with a price list or price confirmation. Only the most recent price list or confirmation is valid and supersedes all previous versions. PN UAE is not responsible for typographical errors or other inadvertent mistakes in pricing.
2.2. PN UAE reserves the right to amend prices at any time, with changes taking immediate effect.
3. Orders
3.1. Orders cannot be cancelled once placed. The Customer is liable for full payment, except where certain products are unavailable.
3.2. If products are temporarily or permanently out of stock, PN UAE will inform the Customer promptly. PN UAE shall not be liable for such unavailability and is not obligated to resume production of discontinued products.
3.3. If PN UAE purchases materials or components at the Customer’s request, the Customer shall reimburse PN UAE in full, even if the materials are not entirely used for their orders. PN UAE may invoice these separately.
4. Payment
4.1. All prices are exclusive of VAT, other taxes, and bank charges.
4.2. Invoices are payable upfront or as otherwise agreed in writing, using the payment methods specified by PN UAE. Delivery will only occur after payment has been received. Payment terms may be modified or revoked by PN UAE at any time.
4.3. Ownership of products transfers to the Customer only after full payment is received.
4.4. Late payments may incur interest at 12% per annum and a fixed surcharge of 10%. All collection and legal costs will be borne by the Customer.
5. Delivery
5.1. Unless otherwise agreed, deliveries are “Ex Works” at PN UAE’s premises. If delivery is to another location, the Customer bears all transport costs and risks.
5.2. If only part of an order is in stock, PN UAE may delay delivery until all products are available. If partial delivery is agreed, additional delivery costs will be charged to the Customer.
6. Delivery Terms
6.1. Delivery times are indicative and not binding. Any delay will not entitle the Customer to damages or price reductions.
7. Complaints and Returns
7.1. Complaints regarding invoices or products must be submitted in writing to PN UAE within 14 working days of invoice date. Complaints submitted later will not be accepted.
7.2. Products may only be returned with prior written consent from PN UAE and at the Customer’s expense. Returns must be arranged via info@ae.pronails.com with the order number referenced.
7.3. Submission of a complaint does not exempt the Customer from payment obligations. If a complaint is validated, PN UAE may issue a refund of the overpaid amount.
8. Liability
8.1. PN UAE is not liable for damages resulting from improper use, storage, or alteration of products by the Customer or third parties.
8.2. Liability is limited to the invoice value of the relevant order. PN UAE is not liable for indirect, consequential, or special damages.
9. Termination
9.1. PN UAE may terminate orders with immediate effect without notice or damages if:
(i) The Customer fails to pay amounts due within 15 days of a written notice; and/or
(ii) The Customer enters liquidation, administration, or any similar financial situation.
10. Intellectual Property
10.1. Products and services are protected by intellectual property rights. PN UAE retains all rights.
10.2. The Customer shall respect PN UAE’s intellectual property rights at all times.
10.3. PN UAE will respect the Customer’s intellectual property rights where applicable.
11. Data Privacy
11.1. PN UAE may collect and process Customer personal data in accordance with UAE data protection regulations.
11.2. Customers may request correction, modification, or deletion of their personal data.
12. Trainings
12.1. Enrollment in PN UAE trainings is subject to acceptance of the training regulations.
12.2. Booking a training requires advance payment as specified. Payments are non-refundable except in case of training cancellation by PN UAE.
12.3. If training dates are rescheduled, Customer enrollment applies automatically to new dates without reimbursement.
13. Miscellaneous
13.1. PN UAE is not responsible for delays caused by force majeure, including governmental orders affecting production or delivery.
13.2. Invalidity of any provision does not affect the validity of other provisions.
13.3. These terms are governed by UAE law. Any disputes fall under the exclusive jurisdiction of the courts of Dubai, UAE.
